Basic Package

Tax and business consultation: We consult you on the best choice of entity considering your specific facts and circumstances. There are lots of factors here and our expertise is vital. This includes an hour of our time with Robert A. Green, CPA or one of our senior tax attorneys. Our tax attorneys are highly experienced in international tax matters and US tax treaties with other countries.

Premium Package
Includes the Basic Package above plus these other services:

Incorporation or formation: We use online incorporators to incorporate your C-Corp (or S-Corp) or form your LLC (or other entity) in all states. This is the low cost option.

Domain name: If you want a domain name and e-mail for a Web site, just before we submit your incorporation filing, we check to see if your corporate name is available for a Web site domain. If it is, we reserve/purchase your domain name and "park it" at a Web hosting firm. You may want to have the same name for your new entity and domain name. This is the first smart move in e-commerce.

Corporate records: If you formed a corporation, we send you standard bylaws, corporate resolutions, minutes, and other corporate kit items that we have customized for ecommerce & regular businesses. You can simply cut and paste your name in (or we will time permitting).

Tax identification number: We will prepare and file your SS-4 form with the IRS to get your tax identification number. For an ecommerce business, this is tricky and the first pitfall to ruining the wise ecommerce strategy.

S-Corporation election: If you are using the ecommerce strategy, you won't elect to be treated as an S-Corporation. If you are a regular business, you probably will. In that case, we will prepare your S-Corporation elections to file with the IRS. You have 2.5 months from incorporation to do this filing.

LLC Operating Agreement: If you form an LLC, you need a LLC Operating Agreement. Corporations don't need this type of agreement as they can use standard bylaws and resolutions (see above). For sure there is not sufficient time in our Basic Package to prepare a LLC Operating Agreement, even using standard agreements we have on file. We do have time for this work in the Premium and International Packages.
If you purchase the Basic Package and need more help from use, no problem, just purchase more time blocks.

Accounting: At an additional small charge, if you are interested in accounting help, we will consult you on computerized bookkeeping. We usually recommend QuickBooks.

E-commerce: At an additional small charge, if you are interested in e-commerce, we will help you with your Web site and credit card processing. We can also consult you on a good ecommerce business plan.

US and state tax compliance: You are welcome to use our tax compliance services which includes annual ncome tax preparation services. Tax preparation is our main business and we will make sure that your tax planning and strategies are properly reflected on your tax returns.

Other professional services available: Our CPAs and tax attorneys are available for other professional services including but not limited to: retirement plans, consulting on raising capital, negotiations with counterparties, review of all agreements, opening bank or brokerage accounts, operations, etc.
